Welcome to Zywra. By accessing our website, engaging with our services, or signing a proposal, you agree to be bound by these Terms and Conditions. Please read them carefully.

1. Definitions

  • “Agency,” “We,” “Us,” or “Our”: Refers to Zywra, the provider of design and development services.

  • “Client,” “You,” or “Your”: Refers to the individual, company, or entity engaging Zywra for services.

  • “Project”: The specific design, development, or consulting work outlined in a Proposal or Statement of Work (SOW).

  • “Deliverables”: The final products (code, design files, applications) created for the Client.

2. Scope of Services

  • Proposals: The specific services to be provided (e.g., UI/UX design, web development, app development) will be detailed in a written Proposal or Statement of Work (SOW).

  • Exclusions: Any task not explicitly listed in the Proposal is considered “Out of Scope.”

  • Change Orders: If you require additional features or changes outside the original scope, we will provide a separate quote. Work on these changes will begin only after the additional fees are approved.

3. Client Obligations

To ensure the project runs smoothly, you agree to:

  1. Provide Assets: Supply all necessary text, images, logos, and credentials in a timely manner.

  2. Feedback: Provide feedback and approvals within [e.g., 3 business days] of receiving a draft.

  3. Delays: We are not responsible for missed deadlines caused by a lack of content or delayed feedback from your side. If a project is paused by the Client for more than [e.g., 30 days], a restart fee may apply.

4. Payments and Invoicing

  • Deposit: A non-refundable deposit of [e.g., 50%] is required before work begins.

  • Milestones: Remaining payments are due upon specific project milestones as defined in the Proposal (e.g., Design Approval, Beta Launch, Final Delivery).

  • Late Fees: Invoices not paid within 14 days of the due date may incur a late fee of 5% per month.

  • Final Release: No final files, source code, or live website access will be transferred until the final invoice is paid in full.

5. Revisions and Alterations

  • Standard Revisions: Our standard pricing includes [e.g., two (2)] rounds of revisions per milestone (e.g., two rounds of changes on the homepage design).

  • Excessive Revisions: Revisions beyond the included amount, or significant changes to previously approved work, will be billed at our standard hourly rate of [Insert Hourly Rate].

6. Intellectual Property (IP) Rights

  • Client Ownership: Upon full payment of all fees, Zywra grants the Client exclusive ownership of the final Deliverables (visual designs and specific source code created for the project).

  • Zywra Rights: We retain the right to reuse generic code snippets, libraries, or development tools (Background Technology) used to create the project, provided they do not contain your confidential information.

  • Portfolio Rights: Unless a Non-Disclosure Agreement (NDA) is signed stating otherwise, Zywra retains the right to display the project in our portfolio, website, and social media for marketing purposes.

7. Third-Party Services

  • Costs: Costs for third-party services—including but not limited to domain names, hosting, font licenses, stock photography, and paid plugins/APIs—are the responsibility of the Client.

  • Liability: We are not responsible for service outages, data loss, or changes in policy by third-party providers (e.g., AWS, Google Cloud, GoDaddy).

8. Warranties and Maintenance

  • Support Period: We provide a 30 warranty period after the project launch. During this time, we will fix any bugs or errors related to our code at no extra cost.

  • Exclusions: This warranty does not cover issues caused by:

    • Client modification of the code/site.

    • Third-party plugin updates or API failures.

    • Hosting server issues.

  • Maintenance: After the warranty period, ongoing support and updates require a separate Maintenance Agreement.

9. Limitation of Liability

To the maximum extent permitted by law, Zywra shall not be liable for any indirect, incidental, or consequential damages (including loss of profits or data) arising from the use of our services. Our total liability is limited to the total amount paid by the Client for the specific project in question.

10. Termination

  • By Client: You may cancel the project at any time by providing written notice. You will be responsible for paying for all work completed up to the cancellation date. The initial deposit is non-refundable.

  • By Agency: We reserve the right to terminate the agreement if the Client breaches these terms (e.g., non-payment, abusive behavior).

11. Governing Law

These Terms and Conditions shall be governed by and construed in accordance with the laws of India. Any disputes arising from this agreement shall be resolved in the courts of Delhi NCR.
